1. Acceptance of Terms
These Terms of Use ("Terms") govern your access to and use of the PanOps Intelligence website located at panops.io and any related pages, subdomains, and content (collectively, the "Site"), operated by Fremont Technologies LLC d/b/a PanOps Intelligence ("PanOps," "we," "us," or "our"), a Texas limited liability company.
By accessing or using the Site, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you are accessing the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Site.
Use of the PanOps platform and software service is governed separately by the Master SaaS Subscription Agreement between PanOps and the subscribing customer. These Terms apply to the public-facing website only.
2. Changes to These Terms
PanOps reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Site after any such change constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
3. Use of the Site
3.1 Permitted Use
You may access and use the Site for lawful purposes in accordance with these Terms. You may browse publicly available content, submit inquiries through contact forms, and download materials we make available for download.
3.2 Prohibited Conduct
You agree not to:
- Use the Site in any manner that violates applicable federal, state, local, or international law or regulation
- Use any automated means (including scrapers, bots, crawlers, or similar tools) to access, collect, or index content from the Site without our express written consent
- Attempt to gain unauthorized access to any portion of the Site, its infrastructure, or related systems
- Transmit or upload any content that is unlawful, harmful, defamatory, obscene, or that infringes the intellectual property rights of any third party
- Introduce any virus, malware, or other harmful code to the Site or its infrastructure
- Use the Site to impersonate any person or entity or misrepresent your affiliation with any person or entity
- Harvest or collect email addresses, contact information, or other personal data from the Site without our consent
- Interfere with or disrupt the integrity or performance of the Site or the experience of other users
4. Intellectual Property
The Site and all of its content — including text, graphics, logos, images, product descriptions, software, and design — are the property of Fremont Technologies LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.
You may view and print reasonable copies of Site content for your personal, non-commercial informational use only. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any Site content for any commercial purpose without our express prior written consent.
The PanOps name, logo, and all related product names and marks are trademarks of Fremont Technologies LLC. Nothing on the Site grants any license to use our trademarks without our express written permission.
5. Submitted Information & Communications
If you submit information to us through a contact form, access request form, or other Site feature, you represent that the information you provide is accurate and that you have authority to submit it. We will handle information you submit in accordance with our Privacy Policy.
Any feedback, suggestions, or ideas you submit to PanOps through the Site become the property of PanOps, and we may use them for any purpose without obligation to you.
6. Third-Party Links & Content
The Site may contain links to third-party websites or resources. These links are provided for convenience only. PanOps does not endorse, control, or assume responsibility for the content, privacy practices, or availability of any third-party sites. Your use of third-party sites is at your own risk and subject to their respective terms and policies.
7. Disclaimer of Warranties
THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. PANOPS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
PANOPS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PANOPS AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF PANOPS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL PANOPS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, PanOps's liability is limited to the greatest extent permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless PanOps and its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) your infringement of any third-party right, including any intellectual property or privacy right.
10. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the collection and use of information as described in the Privacy Policy.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas, and you hereby consent to the personal jurisdiction of such courts.
12. Termination
PanOps reserves the right to suspend or terminate your access to the Site at any time, for any reason, without notice or liability. All provisions of these Terms that by their nature should survive termination — including without limitation Sections 4, 7, 8, 9, and 11 — will survive.
13. General
These Terms, together with our Privacy Policy, constitute the entire agreement between you and PanOps regarding your use of the Site and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force. Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
